Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you (“you” or “Customer”) and SentinelWeb (“SentinelWeb”, “we”, “us”, or “our”) and govern your access to and use of the SentinelWebwebsite, monitoring service, APIs, and related services (collectively, the “Service”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. If you use the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Accounts and security

You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity that occurs under your account. You must notify us promptly of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to protect your credentials.

3. Subscriptions, fees, and payment

Paid plans are billed in advance on a recurring basis at the prices and intervals stated at purchase. Fees are inclusive or exclusive of taxes as indicated. You authorise us and our payment provider to charge your selected payment method for all fees due. Failure to pay may result in suspension or termination of your account. Except where required by law, fees are non-refundable.

4. Free plan and trials

We may offer free plans or trials at our discretion. Free plans are provided “as is” with the limits and features published at the time of use. We may modify, restrict, or discontinue free plans at any time.

5. Cancellation

You may cancel your subscription at any time through your account. Cancellation takes effect at the end of your then-current billing period; you will retain access until that period ends. No partial refunds are provided for unused time.

6. Licence to use the Service

Subject to your compliance with these Terms and payment of applicable fees, SentinelWeb grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal use.

7. Acceptable use

You agree not to, and will not allow any third party to:

  • monitor, test, scan, or probe any website, system, or service that you are not authorised to monitor;
  • use the Service to disrupt, overload, attack, or interfere with any third party or with the Service itself;
  • use the Service to send spam, malware, or other harmful or unlawful content;
  • attempt to access, reverse engineer, decompile, or interfere with the Service, except to the extent expressly permitted by applicable law;
  • resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted by us in writing;
  • use the Service in any way that violates applicable law or third-party rights.

You are solely responsible for the targets you configure for monitoring and represent and warrant that you have all rights and permissions necessary to monitor them.

8. Customer data and configuration

You retain all rights in the configuration and data you submit to the Service (“Customer Data”). You grant us a worldwide, non-exclusive licence to host, process, transmit, display, and use Customer Data solely to provide, secure, and improve the Service and as otherwise permitted by these Terms and our Privacy Policy. You are solely responsible for the accuracy and lawfulness of Customer Data.

9. Third-party services

The Service may integrate with or link to third-party services (for example payment processors, notification providers, and analytics tools). Your use of those services is governed by their own terms. We are not responsible for the availability, accuracy, content, or practices of any third-party service.

10. Service availability and changes

We work to make the Service available and reliable, but we do not guarantee uninterrupted, error-free, or timely operation. We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. Scheduled maintenance, third-party outages, force majeure events, and other circumstances beyond our reasonable control may affect availability.

11. Suspension and termination

We may suspend or terminate your access to the Service, in whole or in part, at any time and with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if continued provision of the Service could create liability or risk for us, our users, or third parties. On termination, your right to use the Service ends immediately and we may delete Customer Data after a reasonable period.

12. Disclaimer of warranties

The Service is provided “AS IS” and “AS AVAILABLE”, with all faults and without warranty of any kind. To the maximum extent permitted by law, SentinelWeb and its affiliates, licensors, and service providers disclaim all warranties, whether express, implied, statutory, or otherwise, including any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, timeliness, reliability, security, and uninterrupted operation.

Monitoring is a best-effort signal. We do not warrant that checks will run on time, that alerts will be delivered, that results will be accurate, or that the Service will detect or prevent any outage, incident, security issue, or loss. The Service is not a substitute for your own backups, redundancy, security controls, or independent verification. You agree that you will not rely on the Service as your sole safeguard.

13. Limitation of liability

To the maximum extent permitted by law, in no event will SentinelWeb, its affiliates, officers, directors, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, use, goodwill, business interruption, or other intangible losses, arising out of or relating to your use of, or inability to use, the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability to you for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees actually paid by you to us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD 100).

These limitations apply regardless of the legal theory on which the claim is based (contract, tort, statute, or otherwise) and even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless SentinelWeband its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your Customer Data or monitoring targets; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.

15. Intellectual property

The Service, including all software, content, design, and trademarks, is owned by SentinelWeb or its licensors and is protected by intellectual-property and other laws. Except for the limited licence granted in these Terms, no rights are granted to you. You may not use our name, logo, or trademarks without our prior written consent.

If you submit feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide licence to use them for any purpose without obligation to you.

16. Governing law and venue

These Terms are governed by the laws applicable in the jurisdiction in which SentinelWeb is established, without regard to conflict-of-laws principles. The courts of that jurisdiction will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except where applicable consumer-protection law grants you the right to bring proceedings in your country of residence.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the “Last updated” date above and, where appropriate, communicated through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. Miscellaneous

These Terms, together with our Privacy Policy and any other documents referenced here, constitute the entire agreement between you and SentinelWeb regarding the Service and supersede any prior agreements on the same subject. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them at any time without notice.
